Victory Capital Holdings, Inc.によるHarvest Volatility Management, LLC買収に関するお知らせ

ベイビュー・アセット・マネジメント株式会社(以下、「当社」)は、当社が包括的な運用業務提携契約を締結するVictory Capital Management Inc.(以下、「VCM社」)の持ち株会社Victory Capital Holdings, Inc.(以下、「VCH社」)が、利回り向上オーバーレイ、リスク低減、オルタナティブ・ベータ、及び絶対収益等に特化したデリバティブ運用の米国リーディング・カンパニーであるHarvest Volatility Management, LLC(以下、「Harvest社」)を買収し、100%子会社にすることを2018年9月24日に発表しましたので、ここにご案内申し上げます。当買収は、規制当局による承認及びHarvest社の顧客による同意を経て、2019年第1四半期末までに完了する予定です。尚、VCH社のプレスリリース(英文)は、下記をご参照下さい。

Harvest社は、ニューヨークに本拠を置くデリバティブ運用を専門とするブティックハウスで、最高経営責任者兼ポートフォリオ・マネージャーのRichard L. Selvala, Jr.と、マネージング・パートナー兼チーフ・リスク・オフィサーのCurtis F. Brockelman, Jr.によって、2008年に創業されました。利回り向上や資産クラス毎のリスク低減を追求する戦略において高い専門性を誇り、卓越したトラック・レコードを築いております。投資家から高い支持を獲得し、運用総資産残高は約120億米ドル(2018年7月末現在)に達しております。

VCM社は、Harvest社を10番目の運用フランチャイズとして傘下に収めることで、オルタナティブ投資の導入を含め、運用ソリューション・プラットフォームを大幅に拡張することになります。具体的には、インカムの確保、絶対収益、そして(変化する市場環境に対して中立化を図る)市場リスク管理にフォーカスした、分配重視型のカスタマイズ・プロダクトの提供が可能になります。尚、当買収により、VCM社の運用総資産残高は、約750億米ドル(2018年7月末現在)へと拡大する見込みです。

当買収後も、Harvest社の運用業務における独立性、運用哲学、運用プロセス、及びブランドは、VCM社傘下の他の運用フランチャイズと同様、全く変更ありません。Harvest社の運用チームは、最先端を行く独自の運用テクノロジーを駆使し、分析、トレーディング、及びリスク管理を行うと同時に、VCM社の集中管理されたオペレーションと販売プラットフォームを利用することで、運用規模及びリソースの拡充が期待できます。

I am pleased to announce that Victory Capital has agreed to acquire Harvest Volatility Management, LLC (Harvest). Harvest is a leader in derivative asset management, specializing in yield enhancement overlay, risk reduction, alternative beta and absolute return investment strategies.

This news represents a significant expansion of Victory Capital’s Solutions Platform offerings, including the introduction of alternative investments. In fact, it allows us to provide our clients with customizable outcome-oriented products—focused on providing current income, absolute return, and risk-managed levels of market exposure—that are neutral to changing market environments.

The addition of Harvest as our 10th Investment Franchise aligns squarely with our business strategy and strengthens our product set and the investment solutions that we can provide to our clients. Since its inception in 2008, Harvest has an established track record in managing strategies that enhance yield and reduce asset class risk exposures. As of July 31, 2018, the firm had approximately $12 billion in assets under management.

The acquisition will also increase Victory Capital’s overall size and scale. Based on the AUM for both firms as of July 31, 2018, Victory Capital would on the closing of the transaction have approximately $75 billion in firmwide AUM. This includes approximately $16 billion, or 21% of total AUM, in its Solutions Platform strategies.

Based in New York City, Harvest was founded by Chief Executive Officer and Portfolio Manager Richard L. Selvala, Jr. and Managing Partner and Chief Risk Officer Curtis F. Brockelman, Jr. Over the past 10 years, they have built a team that has established a strong track record in managing strategies that enhance yield and reduce asset class risk exposures.

As with all our Franchises, Harvest will maintain its investment autonomy and its investment team, investment process, and brand will remain intact. The Harvest Franchise will be supported by our centralized operations and distribution platform, which will provide Harvest with additional scale and resources.

Victory Capital and Harvest have a shared entrepreneurial culture and commitment to employee ownership, which aligns our interests with those of our clients.
